ChatPilot User Agreement

Welcome to ChatPilot products and services! This Agreement is entered into between ChatPilot provider (hereinafter referred to as "us") and you (if the user is a natural person) or the entity you represent (if the user is a legal person), and binds your use of the website (https://www.chatpilot.ltd) and other related services (hereinafter referred to as "the Service" or "ChatPilot Service").

By using the Service means you electronically acknowledge the content of this Agreement and agree to be bound by this Agreement. If you or your guardian do not agree with any of the contents of this Agreement, you should immediately stop using the ChatPilot Service. If you use the Service without the consent of your guardian, you and your guardian shall bear all the consequences arising therefrom in accordance with the law.

We especially remind you to carefully read (minors under the age of 18 should be accompanied by their legal guardians) and fully understand all the terms of this Agreement before using the Service, especially the terms and conditions shown in bold such as service fees, disclaimers, legal jurisdiction and application. If you do not agree to any of the terms of this Agreement, we will not be able to provide you with complete products and services, and you may choose to stop using the Services. If you choose to agree to this Agreement, or your registration, login, use and other behaviors will be deemed to be your acceptance of this Agreement, and you will be deemed to have accepted and complied with the terms of this Agreement.

Article 1 Definitions

1.1 User: means all natural persons who use the ChatPilot Service through the website of https://www.chatpilot.ltd. You may be referred to as "User" or "You" in this Agreement. For the avoidance of doubt, the use of the Service by ChatPilot ecosystem partners is also an "user" under this Agreement and shall comply with the provisions of this Agreement.

1.2 Input: refers to the text input made by the User in the dialog box for the purpose of using the Service.

1.3 Output: refers to the text, tables, codes, pictures and other contents output by the Service according to the user's input.

Article 2 Service Introduction

2.1 ChatPilot relies on large model technology to provide artificial intelligence Q&A services. Users need to enter text information and question materials in the dialog box, and ChatPilot will output corresponding content based on the user's input as a response, including text, tables, code, and images. ChatPilot collects and analyzes input and output information from users to improve recognition and responsiveness, and to improve the intelligence and content quality of the Service. Users can evaluate the output, including liking, disliking, etc., to give feedback on the output information of ChatPilot.

2.2 The specific functions of the Service will be continuously updated with user feedback, technical upgrades, or changes in relevant regulatory policies.

2.3 When you use a specific function of the Service, there may be separate agreements and relevant business rules ("Specific Agreements") for such specific functions, and you should read and agree to the relevant Specific Agreements before using such specific functions. In the event of a conflict between the content of this Agreement and the Specific Agreement, the provisions of the Specific Agreement shall prevail.

2.4 When you use the products or services provided by a third party (such as through plug-ins, links, etc.) in the Services, please comply with the user agreement, usage rules, privacy policy and other legal documents published by the third party, and we cannot be responsible for the third-party products and any content to the extent permitted by laws and regulations.

 

Article 3 Account Login

3.1 In order to access the Service, you shall enter your account, password and mobile phone number according to the instructions on the page, and complete the registration and login on the website after verifying and signing this Agreement. During the account registration process, you should carefully read the terms of the ChatPilot User Agreement and Privacy Policy and follow the prompts on the page to complete all the registration procedures.

3.2 The Service is primarily intended for adults. If you are under the age of 18, please read this Agreement with your legal guardian and use the Service with the consent of your legal guardian. ChatPilot fully understands the importance of protecting minors, and will take corresponding protective measures in accordance with the requirements of laws and regulations and mainstream practices in the industry. At the same time, guardians are requested to reasonably guide and restrain minor users' use of the Service, jointly create a positive network environment, help minors develop good online habits, and avoid excessive reliance on or addiction to the Service.

3.3 In order to enable you to better use this product and related services, and ensure the security of your account, you need to provide us with your real mobile phone number when registering. In addition, in order to provide you with some functions that have been or will be launched in the future, we may also collect other personal information from you in strict accordance with the requirements of laws and regulations.

3.4 You understand and promise that the account you set up shall not violate the relevant provisions of national laws and regulations, that there shall be no illegal and undesirable information in your account name, profile picture, profile and other registration information and other personal information, you shall not open an account in the name of another person without the permission of others (including but not limited to fraudulent use of other people's names, titles, trade names, avatars, etc.), and shall not maliciously register accounts (including but not limited to frequent registration, batch registration of accounts, etc.). You must comply with relevant laws and regulations during the registration and use of your account, and shall not carry out any acts that infringe on national interests, harm the legitimate rights and interests of other citizens, or harm social morality. ChatPilot reserves the right to review the information you submit.

3.5 In order to comply with the requirements of relevant laws and regulations and ensure the security of your account, ChatPilot may use different methods to verify your identity on a regular or irregular basis, including but not limited to requiring you to enter a verification code, mobile phone number verification, email verification, etc. If you are unable to complete the verification or refuse to verify it, ChatPilot may reasonably suspect that your account has security risks, suspend some or all of the services provided to you, and have the right to take further measures.

3.6 Generally speaking, the criteria for the identification of users in the Service are: the same ChatPilot account, mobile phone number, payment account, bank card number, etc. are regarded as one user.

3.7 You should keep your account information (including account, password, verification code, etc.) on your own. You shall bear all losses and consequences caused by your improper storage of account information, proactive disclosure, or being attacked or defrauded by others. If you find any unauthorized use of your account to log in to use the Service or other circumstances that may lead to the theft or loss of your account, we recommend that you notify ChatPilot immediately. You understand that it takes a reasonable amount of time for ChatPilot to act on your request, and that ChatPilot is not responsible for consequences that have occurred prior to taking action, unless ChatPilot is at fault.

3.8 You may cancel your account and terminate your relationship with ChatPilot at any time. However, please understand that even if your account has been cancelled, you still need to bear the corresponding legal responsibility for the use of your account before cancellation. In particular, before you cancel your account, you should ensure that there are no unfinished transactions or other unsettled rights and obligations in your account, and that there are no other disputes that may arise or make it difficult to resolve disputes due to cancellation, including but not limited to your account being frozen or restricted, and your cancellation is for the purpose of avoiding investigation and evidence collection. Please note that if we discover that you have violated the law in the course of using the Service, we will keep such records in accordance with the law.

3.9 If there is a balance in your account, please withdraw or transfer out the entire balance in your account. In particular, ChatPilot has the right to clear all the virtual income under the account once you cancel your account (including but not limited to points, virtual currency, value-added services that have been purchased but not expired or used, etc.), and you shall be solely responsible for the consequences.

3.10 If ChatPilot discovers that the account user is not the initial registrant of the account, it has the right to suspend part or all of the services provided to the user and take further measures. You should not transfer, lend, sell, or entrust your account or password to others in any form beyond your control. You are responsible for all activities that occur when using your account, and any consequences arising from the transfer or lending of your account shall be borne by yourself.

 

Article 4 Service Usage Specifications

4.1 Based on your use of the Service, ChatPilot grants you a personal, revocable based on statutory or agreed reasons, non-transferable, non-exclusive and non-commercial right to use the Service for content input and content output. All other rights not expressly authorized by this Agreement are reserved by ChatPilot, and you must obtain separate written permission from ChatPilot before exercising such rights. ChatPilot’s failure to exercise any of the foregoing rights shall not constitute a waiver of such rights. If you publish or disseminate the output generated by the Service, you shall: (1) actively verify the authenticity and accuracy of the output content and avoid disseminating false information; (2) prominently indicate that the output is AI-generated to alert the public of the content synthesis; (3) refrain from posting and disseminating any output content that violates the usage specifications of this Agreement.

4.2 When using the above-mentioned services provided by ChatPilot, the user shall abide by this Aagreement, abide by the principles of voluntariness, equality, fairness and good faith, and shall not use the Service to infringe upon the legitimate rights and interests of others and seek improper benefits, and shall not disrupt the normal order of the Internet platform.

4.3 In order to fulfill legal compliance requirements, ChatPilot has the right to use technical or manual means to review users' behavior and information of using the Service, including but not limited to reviewing input and output, establishing risk filtering mechanisms, and establishing a database of illegal content features. For non compliant users, ChatPilot has the right to dispose of them in accordance with the provisions of Article 8 of this Agreement.

4.4 ChatPilot reminds you that, as a user of the Service, you should actively assume information security obligations when using the above services. You undertake not to do any of the following with the Service:

4.4.1 Induce the generation of output in violation of relevant laws and regulations through input, including but not limited to:

(1)Opposition to the basic principles set forth in the Constitution.

(2)Endangering national security, divulging state secrets, subverting state power, overthrowing the socialist system, and undermining national unity.

(3)Harming the honor and interests of the state.

(4)Inciting ethnic hatred, ethnic discrimination, and undermining national unity.

(5)Insulting or abusing the image of heroic martyrs, negating the deeds of heroic martyrs, or beautifying and whitewashing acts of aggression and war.

(6)Undermining the state's religious policies and propagating cults and feudal superstitions.

(7)Spreading rumors, false and harmful information, disrupting social order, and undermining social stability.

(8)Promoting obscenity, pornography, gambling, violence, homicide, terrorism, extremism, or instigating crimes.

(9)Inciting illegal assemblies, associations, processions, demonstrations, or gatherings to disrupt social order.

(10)Slandering others, divulging others' privacy, infringing on others' reputation, portrait rights, privacy rights, intellectual property rights and other legitimate rights and interests.

(11)Undermining international relations and international peace and stability.

(12)Information containing other content prohibited by laws and administrative regulations.

4.4.2 Induce the output of unfriendly dialogue through inputs, including but not limited to:

(1)Personal attacks and verbal abuse of others.

(2)Expressing cursing, discrimination, and disregard for the dignity of life against the following groups, including groups of different specific nationalities, regions, genders, gender identities, sexual orientations, races, ethnicities, health conditions, occupations, ages, beliefs, and disability groups.

(3)Cursing, intimidating, or threatening others.

(4)Directly disparaging comments on content created by other users.

(5)Use vulgar language to other users and cause offense.

(6)Making biased remarks against specific nationalities, regions, genders, gender identities, sexual orientations, races, ethnicities, health conditions, occupations, ages, beliefs, and disability groups.

4.4.3 Through input, maliciously resist the filtering mechanism of the Service, including but not limited to:

(1)Entering meaningless garbled characters such as characters and numbers whose meanings are difficult to identify and affect the reading experience.

(2)Malicious confrontational behavior, including but not limited to the use of variants, homophonies, etc., to circumvent service detection to enter remarks that violate 4.4.1 and 4.4.2 above.

4.4.4 Interfere with the normal operation of the Service and damage the legitimate rights and interests of ChatPilot, including but not limited to:

(1)Using the Service to engage in illegal or criminal activities such as stealing trade secrets or stealing personal information.

(2) Reverse compile, reverse engineer, or obtain any information related to the algorithm of the Service through any other means.

(3) Using The Service to develop other products and services that compete with the Service (unless such restrictions violate relevant legal norms).

(4) Grab and copy the Service and any content it contains in any way (including but not limited to using any robots, spiders, other automatic settings, or setting images).

(5) Without the consent of ChatPilot or without legitimate basis, remove or tamper with the artificial intelligence generated identification or deep synthesized content prominent identification involved in the Service.

(6) Upload, publish, send emails, or otherwise transmit information related to software viruses or other computer code, files, and programs that interfere with, disrupt, or restrict the functionality of any computer software, hardware, or communication devices.

(7) Illegal intrusion into the server of the Service, tampering with the relevant code of the Service, or other behaviors that damage the Service.

(8) Attempting to circumvent the security settings or network systems of the ChatPilot platform, including obtaining data that users should not obtain, logging into unauthorized servers or accounts, or using methods such as running port scans to spy on other network security measures.

(9) Obtaining output in a way that causes ChatPilot's computer system or facilities to bear unreasonable loads, or engaging in behavior that may lead to such situations.

(10) Without authorization from ChatPilot, illegally resell or provide ChatPilot Services to others, or use ChatPilot Services for commercial purposes.

4.4.5 Other behaviors that violate laws and regulations, infringe on the legitimate rights and interests of others and ChatPilot, such as monopolistic or unfair competition behaviors.

 

Article 5 Intellectual Property and Other Rights

5.1 ChatPilot belongs to the development and operation entity of the Service, and enjoys all rights to all data, information, output, etc. generated during the development and operation of the Service, within the scope permitted by laws and regulations, except for the rights that the relevant right holders shall enjoy in accordance with the law.

5.2 The intellectual property (including but not limited to copyrights, trademark rights, patent rights and other intellectual property rights) of the content (including but not limited to software, technology, programs, code, user interfaces, web pages, text, pictures, images, audio, video, charts, layouts, trademarks, electronic documents, etc.) provided by ChatPilot in the Service belong to ChatPilot. However, the relevant right holder shall enjoy the rights in accordance with the provisions of the law.

5.3 You understand and promise that the input you input when using the Service does not infringe anyone's intellectual property, portrait rights, reputation rights, honor rights, name rights, privacy rights, personal information rights and interests and other legitimate rights and interests, and does not involve any state secrets, trade secrets, important data or other data that may adversely affect national security or public interests, otherwise you shall bear the infringement risks and liabilities arising therefrom. You shall also be liable for all direct and indirect losses (including but not limited to economic, goodwill, rights protection expenses, attorney fees, etc.) suffered by ChatPilot.

5.4 You acknowledge, understand and agree that if you have rights (including but not limited to intellectual property, portrait rights, etc.) to your input (including all content uploaded and published by yourself during your use of the Services) and/or output in accordance with the law, Your use of the Services will not result in the transfer or impairment of the aforesaid legal rights, unless otherwise agreed between us and you. At the same time, you understand and agree that ChatPilot will, within the scope permitted by law, store and use the content uploaded and published by you for the purpose of the Service (including but not limited to copying, distributing, transmitting, publicly displaying, editing, etc.).

Article 6 Protection of Personal Information

6.1 ChatPilot attaches great importance to the protection of users' personal information. ChatPilot will collect, use, store and share your personal information in accordance with relevant laws and regulations. ChatPilot's Privacy Policy is an integral part of this Agreement.

 

Article 7 Service Fees

7.1 ChatPilot may charge you a fee in the process of providing the Service, which is subject to the information released by ChatPilot on the Service at that time. If the user uses the charging items in the Service, he or she shall pay the relevant fees in accordance with the billing standards and methods published by ChatPilot.

7.2 For the functions that are temporarily free of charge, ChatPilot has the right to unilaterally change the service content, service period and service standards according to the actual situation, and the user understands and accepts the aforesaid changes.

7.3 Before the aforesaid modification, change or start charging, ChatPilot will notify or announce on the corresponding service page. If the user refuses to pay, the user will not be able to continue to use the paid functions of the Service.

 

Article 8 Liability and penalties for breach of contract

8.1 Any consequences caused by the user's violation of relevant laws and regulations or the provisions of this Agreement shall be borne by the user independently and compensate for the loss, and our company has nothing to do with it. If ChatPilot or other units cooperating with ChatPilot face any complaints, reports, inquiries, claims, lawsuits, or suffer any reputation, reputation, or property losses due to the user's use of the Service, you should actively take all possible measures to ensure that ChatPilot and other units cooperating with ChatPilot are exempt from the aforementioned claims and the impact of litigation. At the same time, you are fully responsible for the direct and indirect economic losses suffered by ChatPilot and other units cooperating with ChatPilot as a result.

8.2 If the user interferes with the operation of the Service or interferes with the use of the Service by other users by any means, our company has the right to demand compensation for losses (including but not limited to economic, goodwill, rights protection expenses, attorney fees, etc.).

8.3 If the User has violated the above clause 4 Service Usage Specifications, ChatPilot has the right to take reasonable measures such as warning, limiting functions, suspending or terminating the provision of services, deleting illegal information, locking accounts, etc., and keep relevant records. If there is any doubt about the processing result, the user can appeal to us in accordance with the provisions of Article 9.2, and we will accept and deal with it in a timely manner.

 

Article 9 Handling of complaints and appeals

9.1 Complaints. If you believe that the Service infringes your intellectual property or other rights, or if you find any illegal, false information or use in violation of this Agreement, you may send relevant complaint materials to this email address:chatpilot.ltd@gmail.com. We will deal with your complaint after receiving it, including taking reasonable measures such as stopping the generation, stopping the transmission, and eliminating it in a timely manner.

9.2 Grievances. If you believe that we have unduly restricted your ability to use the Services, you may send relevant appeal materials to this email address: chatpilot.ltd@gmail.com. At a minimum, the materials required for appeal include your account information, a copy of your ID card or passport (for natural persons), a copy of the registration certificate of the organization (for the organization), the current status of the account, the circumstances under which the account has been used, and what measures you want us to take to restore your ability to use the Services. After you submit your appeal request, we'll send you a return receipt number. You'll need to record the receipt number for progress checking. We will notify you of the outcome of your appeal by email.

9.3 We will provide you with feedback on the relevant situation within 5 working days after you file a complaint or appeal.

 

Article 10 Disclaimer of Warranties

10.1ChatPilot is committed to providing safe, stable, and continuous services to ensure users' normal use, but ChatPilot only provides the Service in a "current" and "current functionality" state. ChatPilot does not assume any other responsibilities except as expressly provided by law, such as not guaranteeing that the Service will not be interrupted or error free in operation, nor does it guarantee the ability to correct all defects of the Service at the current technological level, nor does it guarantee that the Service can meet all the requirements of users. ChatPilot will make every effort to provide corresponding security measures based on existing technology to ensure the security and normal operation of the Service, including but not limited to limiting the number of server requests that users can send at a single time. After the number of user requests reaches the risk warning limit within a specific time period, your account may be suspended due to service operation security considerations.

10.2 Due to possible factors such as computer viruses, network communication failures, system maintenance, and possible force majeure or unexpected events, ChatPilot hereby expressly disclaims any express or implied warranties regarding the Service, including its applicability, absence of errors or omissions, continuity, accuracy, reliability, suitability for a specific purpose or meeting user needs, and effectiveness.

10.3 Artificial intelligence and machine learning are rapidly developing research fields, and ChatPilot is also continuously striving to improve the Service to make it more accurate, reliable, secure, and trustworthy. However, limited to technical features, ChatPilot cannot fully guarantee the legality, authenticity, accuracy, and completeness of the output you obtain through the Service, despite making reasonable efforts. You should make your own judgment on the output of the Service and bear all risks arising from the use of the content. We remind you that, except as expressly provided by law, ChatPilot cannot and will not be liable for any loss or damage caused by the aforementioned risks.

10.4 The output under the Service does not represent professional opinions and cannot replace professionals in professional fields such as law, healthcare, finance, etc. to answer corresponding questions to you. The relevant viewpoints are only limited to the limited data presented by the algorithm for your reference, and do not represent the position of ChatPilot. Due to the characteristics of machine learning, the same input may produce different output results. Please pay attention to discrimination. Any judgments or subsequent operational actions made based on the output content, as well as the consequences and responsibilities arising therefrom, shall be borne by you. Please have a scientific and rational understanding and use the Service in accordance with the law.

 

Article 11 Jurisdiction and Application of Law

11.1 In case of any dispute arising from the signing, performance or interpretation of this Agreement, both parties shall strive to resolve it through friendly consultation. If the negotiation fails, either party has the right to initiate arbitration with the Hong Kong International Arbitration Center and make an award in accordance with the arbitration rules in effect at the time.

 

Article 12 Renewal and Termination of this Agreement

12.1 Your acceptance of this Agreement includes accepting any modifications we may make to any terms of this Agreement at any time. We have the right to modify this Agreement at any time, and the updated agreement will be published through appropriate means such as official websites. Once published, it will replace the original agreement terms. Please refer to the latest version of the Agreement terms on the official website. If you do not accept the modified agreement, please immediately stop using the Service. Your continued use of the Service will be deemed as acceptance of the revised agreement.
